BYLAWS

Article I: Name

The name of the organization shall be the Faculty Association of Community and Technical Colleges (FACTC).

Article II: Function

The function of the association shall be to act as a voice for the faculty in order to influence the decision-making process of the state system of community and technical college education for the following reasons:

  • to improve the quality of educational programs in the community and technical colleges in the State of Washington
  • to submit policy recommendations to the Executive Director of the State Board for Community and Technical Colleges (hereafter referred to as SBCTC).
  • to cooperate with the SBCTC in the development of procedures through which faculty organizations of member institutions can participate in the decisions which affect the programs for community and technical college education in the State of Washington
  • to confer with the Executive Director and/or the SBCTC on matters essential to the interest of community and technical college education in the State of Washington
  • to confer with other components of the community and technical college system on matters concerning education in the State of Washington
  • to appoint faculty representatives to system-wide committees
  • to improve communication among college faculties, and to encourage faculty professional organizations to maintain their autonomy and effectiveness
  • to provide information to the system on items of relevance.

Article III: Membership

The membership of the Faculty Association of Community and Technical Colleges (hereafter referred to as FACTC) shall consist of the following:

  • a faculty representative or his or her designee from each community and technical college in the state system and one from Corrections Education
  • Each representative shall be selected by the respective college faculty through the procedures currently used on each campus.
  • The term of office shall be determined by the selecting body.
  • the Executive Director of the SBCTC and/or an appointed staff member of SBCTC

Article IV:  Standing Rules

FACTC shall be authorized to organize itself in any manner necessary for the effective conduct of the business which may come before it.

  • Each college shall be entitled to one vote.
  • A quorum shall exist and business may be conducted provided that at least ten members are present and that due advance notice has been made.
  • Neither the Executive Director nor his/her representative shall be a voting member.

Article V:  Officers and Duties

There shall be five officers of FACTC: President, Vice President, Secretary, Treasurer and Communication Specialist

  • The President shall
    • preside at FACTC meetings
    • sign official documents of FACTC
    • be responsible for the preparation and distribution of the agenda
    • represent FACTC to the appropriate organizations and groups
    • assume other duties the membership designates
  •  The Vice President shall
    • assume the duties of the President in the absence of that officer
    • assume other duties the membership designates
  • The Secretary shall
    • maintain appropriate records and conduct correspondence for FACTC
    • supervise the production and distribution of FACTC’s internal correspondence
    • assume other duties the membership designates
  • The Treasurer shall
    • maintain appropriate accounts
    • be responsible for collecting the annual membership dues
    • disburse funds as authorized by the FACTC
    • assist FACTC’s executive committee in developing the organization’s annual budget
    • maintain FACTC’s IRS status
    • assume other duties of the membership designates 
  • The Communication Specialist shall
    • maintain FACTC website
    • moderate FACTC listserv
    • manage social media
    • assume other duties the membership designates

 Article VI:  Meetings

  • There shall be regular meetings of FACTC each quarter of the academic year. The annual election of officers and the setting of the next year’s meeting dates shall take place at the last meeting of FACTC in the regular school year. The new officers shall assume office at the conclusion of that meeting.
  • The President may call special meetings at his/her discretion.
  • Special meetings may be called by the petition of one-third of the FACTC membership.

Article VII:  Committees

  • The Executive committee
    • shall be composed of the President, vice President, Secretary, Treasurer and immediate past President and
    • shall administer the affairs of FACTC.
    • Committees may be authorized by the Executive committee or the FACTC membership to conduct business determined by FACTC to be necessary.
  • The Executive Committee or the membership shall appoint the committee officers and members.
  • Committee meetings shall be called by the chair of each committee.

Article VIII:  Amendments

These By-Laws may be amended by a three-fourths vote of the membership present, provided that the notice of the meeting at which amendments shall be proposed shall also include a statement of the proposed amendments. No amendment shall be voted on at the same meeting at which it is proposed.

Article IX:  Parliamentary Procedures

On all matters of procedure not otherwise covered by these By-Laws. Robert’s Rules of Order, latest revised edition, shall be the official guide.
